Software provider Adobe Systems announced it will acquire digital content analytics firm Omniture for $1.8 billion cash--per terms of the deal, Adobe will commence a tender offer to purchase all of the outstanding common stock of Omniture for $21.50 per share. Omniture's solutions enable customers including eBay, AOL, Microsoft and Wal-Mart to capture, store and analyze information generated by their websites and other sources in an effort to gain insights into the performance and efficiency of their marketing, sales and related business initiatives. According to Adobe, the addition of Omniture's analytics, measurement and optimization technologies to its own content creation tools and ubiquitous clients will enable solutions spanning all digital content, platforms and devices, offering advertisers, advertising agencies, publishers and e-tailers the tools to achieve greater ROI from their media investments.
Upon completion of the transaction, Omniture will become a new business unit within Adobe. The firm's CEO Josh James will join Adobe as senior vice president of the new business unit, reporting to Adobe president and CEO Shantanu Narayen. The deal is expected to close in the fourth quarter of Adobe's 2009 fiscal year.
