Research In Motion acquiring Chalk Media for $18.7M
Device maker Research In Motion announced an agreement to acquire mobile content deployment solutions provider Chalk Media in an all-cash transaction valued at $18.7 million U.S. Chalk, a member of the BlackBerry Independent Software Vendor Alliance Program, is the developer behind the Mobile chalkboard application suite, which enables the creation and deployment of "pushcasts"--i.e., multimedia files distributed to BlackBerry smartphones within an organization or targeted user group.
Chalk's board of directors has unanimously approved the RIM acquisition and recommends shareholders vote in favor of the deal. Chalk directors, execs and certain other shareholders representing about 21 percent of the firm's issued and outstanding common shares have already entered into support agreements with RIM and agreed to vote their shares in favor of the transaction. Pending shareholder approval, the acquisition is expected to close in February 2009.
